Susanne is a Corporate partner at Matheson LLP and leads the firms public company advisory & corporate governance group. Susanne has particular expertise in corporate governance and compliance matters and in securities regulation. Susanne advises boards and executive teams of listed companies, state bodies and large domestic companies on ongoing governance and compliance as well as in the management of crisis and reputational risk.
As a member of Matheson’s ESG Advisory Group, Susanne leads the firms ESG advisory mandates in corporate sustainability reporting, ESG governance and sustainability due diligence. Susanne also leads Matheson’s advocacy efforts with respect to Ireland’s transposition of the Corporate Sustainability Reporting Directive.
Susanne also has extensive equity capital markets transaction experience advising clients on IPOs (on Euronext Dublin, London Stock Exchange, NYSE and Nasdaq), capital raisings as well as in public company M&A (hostile and recommended). Susanne also has expertise on corporate migrations, redomiciliations and reorganisations.
Susanne lectures on Corporate Governance and ESG topics at the Law Society of Ireland and Ireland's Institute of Directors Chartered Director Programme and is a regular panellist on corporate governance matters at international conferences such as the International Bar Association Corporate Governance Conference and the Cambridge Forum for ESG Leaders.
Susanne was winner of Corporate Governance Lawyer of the Year at the IFLR EMEA Women in Business Law Awards 2024 and nominated as ESG Leader of the Year at Ireland's Climate Change Leadership Awards. Susanne was nominated Corporate Governance Lawyer of the Year at the IFLR EMEA Women in Business Law Awards 2023 and nominated as ECM Lawyer of the Year at the IFLR EMEA Women in Business Law Awards 2022.
- Advising Smurfit Kappa Group plc on its $25.5 billion merger with WestRock Company to form Smurfit Westrock.
- Advising Chartered Accountants Ireland in relation to its amalgamation with the CPA Ireland including the revision of its bye-laws and regulations to accommodate the amalgamation and advising Chartered Accountants Ireland in relation to ongoing corporate advisory and governance matters.
- Leading advisory mandates to more than 100 clients (including many large multinationals, financial institutions, listed companies and large domestic companies) on non-financial and sustainability reporting and related governance matters.
- Leading all governance aspects of internal investigations at several companies arising under whistleblowing legislation or from internal control processes or regulatory body investigations.
- Acting as standing corporate counsel to boards and executive teams of listed companies and state body clients advising on day to day corporate advisory, governance and compliance matters.
- Advising companies, boards and executives on devising optimal corporate governance structures, implementing effective corporate governance frameworks and ensuring compliance with adopted protocols and applicable codes.
- Conducting board induction and ongoing compliance training for boards of listed companies and state bodies.
- Advising listed companies and state bodies on matters of risk and reputation management in crisis situations.
- Advising boards or independent sub-committees on all governance aspects of independent investigations following whistleblowing complaints.
