Shay Lydon is a partner in the Asset Management and Investment Funds Group at Matheson. He many of the world's leading financial institutions, investment banks, asset management companies and service providers carrying on business in Ireland or through Irish vehicles.

Shay advises a wide range of domestic, continental, UK and US asset managers, investment banks and financial institutions in relation to the structuring, establishment and operation of mutual and alternative investment funds in Ireland, the restructuring and amalgamation of such funds and their marketing across Europe and globally. He regularly advises on the Irish interpretation and implementation of European financial services directives , the provision of investment advice and other financial services.

Shay is an active contributor to Irish industry bodies and is the current chair of the Irish Funds Capability SteerCo, responsible for the strategic development of the Irish funds industry and a member of the Irish Funds Depositary Working Group. He has previously served on a number of Irish Funds committees and working groups, including as chair of the UCITS SteerCo and a member of the Legal & Regulatory Working Group, the AIFMD Working Group and the Asia Distribution Working Group.  He has also served as a member of the EFAMA UCITS Working Group at European level and has engaged with national and European regulators in such capacity on behalf of industry and clients.

Shay was a member of the editorial committee of the inaugural edition of the Hibernian Law Journal. He has presented numerous papers to client seminars and meetings on various topics relating to financial services regulation.

  • The establishment of Qualifying Investor Funds, including master-feeder structures, funds of funds, private equity funds, property funds, treaty funds, royalty funds and arbitrage funds.
  • Irish Investment Limited Partnership structures investing in both private equity and private credit strategies.
  • The establishment of UCITS, including equity funds, bond funds, structured products, exchange traded funds and money market funds.
  • Compliance with relevant Sustainable Finance obligations, including all relevant product composition and investor disclosure rules.
  • The marketing of Irish funds in Europe and Asia and the registration of Irish UCITS in Hong Kong, Taiwan and Japan.
  • Financing arrangements in respect of Irish domiciled funds and the entry into security arrangements by a broad range of Irish domiciled funds.
  • The restructuring, merger and amalgamation of Irish fund structures, including the obtaining of all relevant regulatory and shareholder approvals.
  • A broad range of securitisation structures using Irish special purpose vehicles in accordance with relevant provisions of Irish company and tax law.
